Terms of Service

Agreement

By accessing or using VeriPay, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you may not use the platform.

Eligibility

You must be at least 18 years old and legally authorized to enter into contracts in Ethiopia to use VeriPay. By creating an account, you represent that you meet these requirements.

What VeriPay provides

VeriPay is a payment verification platform that helps Ethiopian businesses authenticate transaction screenshots and payment confirmations across CBE, CBE Birr, Telebirr, and Bank of Abyssinia.

No financial advice

VeriPay is a verification tool only. Nothing on the platform constitutes financial, legal, or accounting advice. You are solely responsible for any business decisions made based on verification results.

Service availability

We aim to keep VeriPay available at all times but cannot guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue features with reasonable notice.

Account responsibility

You are responsible for maintaining the confidentiality of your account credentials. Any activity that occurs under your account is your responsibility. Notify us immediately at info+veripay@d3.agency if you suspect unauthorized access.

Accurate information

You agree to provide accurate, current, and complete information when creating your account and to update it as needed.

One account per organization

Each organization may maintain one account on the free tier. Additional seats or organizations are governed by your subscription plan.

Permitted use

You may use VeriPay solely for lawful business purposes — specifically, verifying the authenticity of payment transactions relevant to your organization.

Prohibited conduct

You may not use VeriPay to submit fraudulent or manipulated payment data, reverse-engineer or attempt to extract proprietary algorithms, resell or sublicense access without written permission, or engage in any activity that disrupts the platform or harms other users.

Enforcement

We reserve the right to suspend or terminate accounts that violate these terms without prior notice and without liability.

Billing

Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except where required by law or stated otherwise in your plan.

Plan changes

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately; downgrades take effect at the start of the next billing cycle.

Late payment

If payment fails, we will attempt to retry the charge. Accounts with outstanding balances may be suspended after 7 days of non-payment.

Our property

All software, designs, trademarks, and content on VeriPay are owned by or licensed to us. Nothing in these terms grants you ownership of any intellectual property rights.

Your content

You retain ownership of any data you submit to VeriPay. By submitting data, you grant us a limited, non-exclusive license to process it solely for the purpose of providing the service.

No warranty

VeriPay is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that verification results will be 100% accurate or that the platform will be error-free.

Limitation of liability

To the maximum extent permitted by law, VeriPay's total liability for any claim arising out of or related to these terms or the service shall not exceed the amount you paid us in the 3 months preceding the claim.

Consequential damages

We are not liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities, even if we have been advised of the possibility of such damages.

By you

You may cancel your account at any time from your account settings or by contacting support. Cancellation takes effect at the end of the current billing period.

By us

We may terminate or suspend your account at any time if you violate these terms, for non-payment, or if we discontinue the service. We will provide reasonable notice where possible.

Effect of termination

Upon termination, your right to access the platform ceases immediately. We will delete your data in accordance with our Privacy Policy.

Jurisdiction

These terms are governed by the laws of the Federal Democratic Republic of Ethiopia. Any disputes arising from these terms shall be resolved in the courts of Addis Ababa, Ethiopia.

Updates

We may update these Terms of Service from time to time. We will notify you of material changes by email or via a notice on the platform at least 14 days before they take effect. Continued use of VeriPay after changes take effect constitutes acceptance of the updated terms.
